ELECTRICALWEB.COM MEMBERSHIP AGREEMENT ElectricalWeb.com, Inc. (�ElectricalWeb.com�, �We�, �Us�, �Our�) provides a web Site located on the Internet at http://www.electricalweb.com (the �Site�) that allows registered customers (�members�) to buy and sell Electrical products and services through ElectricalWeb.com's Trading Zone (the �Trading Zone�) and to gain access to relevant Industry information and services using the Site. Through the TradingZone, members are able to offer electrical products or services for sale, search available products or services, post or review Requests for Quotes (�RFQ's�), engage in negotiations and close transactions with other members. At ElectricalWeb.com's sole discretion, members may also participate in Virtual Buying Group(s)* where demand is aggregated from a group of Buyers with similar requirements and is communicated to a select group of suppliers who can compete for the purchase order in real-time (�Virtual Buying Group(s)�). Members can both be buyers and Sellers. If a member offers products or services for sale, through Virtual Buying Group(s) service or otherwise, or responds to an RFQ, the member is considered a �Seller�. If a member purchases an offered product or service, through Virtual Buying Group(s)* or otherwise, or posts an RFQ for the purchase of products or services, the member is considered a �Buyer�. 1. Agreement with Terms and Conditions This Membership Agreement (this� Agreement�) describes the Terms and Conditions applicable to you (�Member�, �you�, �your�), and your use of the Site and the TradingZone, included any Virtual Buying Group(s)* or other Site functionalities. By executing this Agreement, you accept the Terms and Conditions of this Agreement and are deemed to be a �Member� for purposes of this Agreement if you meet the requirements set forth in Section 2. If you have questions concerning this Agreement or these Terms and Conditions, please contact us via e-mail at support@electricalweb.com. We may add, delete or modify some or all of our services at any time in our sole discretion including but not limited to restricted access to part or all of the Site or otherwise imposing limits on features within the Site without notice or penalty. We may also modify this Agreement to reflect new features of the TradingZone, changes to the Site and as a result of Buyer and Seller feedback. We will post the modified Agreement to the Site. We will post information concerning new features of the Trading Zone and training opportunities on the Site. It is your responsibility to check the Site from time to time to review any modifications to this Agreement, the Transaction Procedures (posted on the Site) and the Privacy Policy (posted on the Site). We may provide additional information regarding such posted changes by email or a newsletter. By continuing to use this Site and/or our services after the posting of the modified Agreement, you are agreeing to be bound by such modified Agreement. 2. Eligibility for Membership The Site and TradingZone are available to any qualified participants in the Electrical Industry who are capable of forming legally binding contacts under applicable law. Notwithstanding anything to the contrary contained in this Agreement, we may refuse to accept an application for Membership in our sole discretion and/or limit a Members use of the Site and/or TradingZone in our sole discretion. 3. Transaction Procedures and Terms and Conditions between Members This Agreement, including, without limitation Transaction Procedures posted on the Site, as amended from time to time (the �Transaction Procedure�), the Privacy Policy referred to herein and accessible through the Site (�the Privacy Policy�) governs your use of the Site and participation in the TradingZone, Virtual Buying Group or other functionalities and constitute your �Members Terms and Conditions.� However, the specific Terms and Conditions of a Members purchase or sale of Products or Services (such as pricing, warranties from Sellers, delivery, etc) through the TradingZone are established through Buyer and Seller, subject to compliance with the Transaction Procedures. Each Buyer or Seller with which you do business on the Site has the option to negotiate its own Terms and Conditions to a Transaction. The Site and/or the TradingZone may allow for the credit information provided by prospective Buyers or Suppliers (during and after the member registration process) to be sent to a third party credit check agency on the Buyer�s or Seller�s behalf at Buyer�s or Seller�s request. A Member�s use or failure to use any information about another member provided by such third party credit check agency does not alter in any way the Seller�s sole responsibility to determine which Buyers are authorized to do business with such Seller. With respect to Virtual Buying Group(s), ElectricalWeb.com will contact Buyers in order facilitate the compilation of Product Specifications, reserve price and commercial terms. After aggregating Buyers with similar requirements, ElectricalWeb.com will communicate the demand to select group of Sellers. Although Sellers will post products or services through the Trading Zone, Virtual Buying Group(s) or otherwise, and Buyers will post RFQs through the TradingZone, Virtual Buying Group(s)* or otherwise, ElectricaWeb.Com does not own any of the goods, products or services, and is merely a venue for Buyers and Sellers to agree upon the terms of transactions. Electricalweb.com does not set nor endorse the price, contract terms, quality, safety, conformance or legality of the products and services advertised or offered for sale, or the ability of the Sellers to sell products or services. We cannot and do not control whether Sellers will complete the sale of products or services they offer. We are not responsible with respect to payment or collection for orders made and bids placed on the Site. We have no control over the truth or accuracy of postings, the ability of the Sellers to sell listed products or services or Buyers to purchase products. Because we are not involved in Member-to-Member Transactions, in the event of any dispute between you and another Member, you release ElectricalWeb.com, it's agents and employees from any claims and damages of every nature (including, without limitation, actual, special, incidental, and consequential), known and unknown, disclosed and undisclosed, rising out of or in any way connected with such dispute. If you are a California resident, you waive California civil code 154, which says; �general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor.� All Electrical Products Sellers registered with ElectricalWeb.com are required to provide a soft copy in PC format of their products catalogue, containing product information including specification, dimensions, packaging, pricing and any other relevant information (the �Products Catalog�) to ElectricalWeb.com for inclusion in the ElectricalWeb.com online unified products catalog. The Products Catalog data will be made available to participants in the marketplace on behalf of the Seller. Seller is responsible for periodic update of any changes in price and any other information in the catalog by sending regular updates to ElectricalWeb.com, online or by snail mail as specified by ElectricalWeb.com from time to time. Seller is solely responsible for the accuracy of the information contained in the Product Catalog and Electrical Web.com does not guarantee the accuracy of the Internet or transmission to or receipt by you or others of the Product Catalog information or that the transmission or the Internet will operate error free. ELECTRICALWEB.COM PROVIDES THE SITE AND THE TRADINGZONE ON AN �AS IS� AND �AS AVAIALABLE� BASIS WITHOUT WARRANTY OR CONDIDTION, EXPRESS OR IMPLIED. MEMBER AGREES THAT THE USE OF THE SITE AND TRADING ZONE IS AT MEMBER�S SOLE RISK. ELECTRICALWEB.COM EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, (I) THE IMPLIED WARRANTIES OF MERCHANTABILITY, (II) FITNESS FOR A PARTICULAR PRUPOSE AND NON-INFRINGEMENT, (III) THAT SERVICE WILL BE CONTINUOUS UNINTERRUPTED AND/OR ERROR-FREE, (IV) AS THE QUALITY, IDENTITY OR RELIABILITY OF ANY BUYER OR SELLER AND WHETHER YOU SHOULD DO BUSINESS WITH SUCH BUYER OR SELLER, AND (V) AS TO THE ACCURACY OF POSTINGS MADE ON THE SITE BY OR ON BEHALF OF SELLER OR BUYER. THE PARTIES DESIRE AND AGREE TO COMPLY FULLY WITH ALL APPLICABLE LAWS, RULES AND REGULATIONS. SPECIFICALLY, THE PARTIES AGREE THAT THE SITE, THE TRADING ZONE, AND ANY VIRTUAL BUYING GROUP(S)* OR OTHER FUNCTIONALITIES ARE NOT TO BE UTILIZED TO FACILITATE COLLUSION OR OTHER CONDUCT IN VIOLATION OF THE ANTI-TRUST CLAUSE. 4. Transaction Fees As more fully detailed in the Transaction Procedures, a fee schedule will be provided online and emailed to you for any transaction that is originated, negotiated or consummated through the TradingZone, Virtual Buying Group(s)* or other functionalities. ElectricalWeb.com also reserves the right to charge nominal fees for different service offerings in the Trading Zone such as RFQs, sealed bids, etc. which do otherwise result in Transaction Fees or any such fees to be detailed in the Transaction Procedures. It is ElectricalWeb.com's intention to retain flexibility in the Transaction Fee structure to accommodate different commerce models in the Trading Zone. Transaction Fees will be due to ElectricalWeb.com within ten (10) days after receipt of the applicable ElectrcialWeb.com invoice detailing Transaction Fees. 5. Access to the Site a) Equipment and Connections Member is responsible for providing all equipment necessary to access the Internet and the Site. b) Availability of the Site. The Site is usually available twenty four hours a day seven days a week. 365 days of the year. However we retain the right to make the Site, Trading Zone, Virtual Buying Group(s)* and/or any functionality unavailable from time to time for any reason, Member agrees that ElectricalWeb.com shall not be liable for any damages arising from any interruption, suspension or termination of the Site and/or the Trading Zone. c) Use of passwords Access to and use of the Site and TradingZone is through a combination of a User Name, Password, and other security measures we may introduce from time to time. Each member will choose his or her unique User Name and Alphanumeric Password. Acceptance of a membership application by ElectricalWeb.com validates a Member's User Name and Password. No Member or other person is permitted to access the Site or TradingZone using the User Name and Password of any other Member. 6. Circumvention of ElectricalWeb.com Member agrees not to identify and engage in negotiations with a counter party on the Trading Zone, in a Virtual Buying Group(s)* or otherwise, and then agree on the terms of the same Transaction off the TradingZone, Virtual Buying Group, or other functionality, or otherwise circumvent the payment of the Electrical Web.com Transaction fee contemplated by Section 4. In addition, any Member who engages in circumvention is subject to having their membership in ElectricalWeb.com immediately and permanently revoked. A Seller who agrees on the terms of a Transaction in the Trading Zone, Virtual Buying Group or otherwise, is still liable to pay ElectricalWeb.com the applicable Transaction Fee for such Transaction. You warrant that you will conduct your transactions with respect to the Site and the Trading Zone, Virtual Buying Group, or other functionality with the highest business ethics at all times, and you will not engage in sales price manipulation of any kind. 7. System Integrity a) Applicable Laws. Member agrees to comply with all applicable local, state, federal, and international laws, statutes, rules, and regulations relating to members use of the Site and TradingZone, including Virtual Buying Group(s)* and other functionalities without limiting the forgoing, Members are responsible for observing all applicable tariffs and Trade Laws. b) No unauthorized access. Members shall not provide access to the Site to other persons through use of Members User Name or Password/ The Member is solely responsible to ensure that it takes no action or omits to take action which in either case results in any other person utilizing members User Name or Password. ElectricalWeb.com is specifically not responsible for the use or any member�s User Name or Password by another party. c) Malicious intent. Member agrees not to tamper in any way with the software or functionality of the Site. Without limiting the foregoing, Member agrees not to put any material into the Site or Trading Zone, including Virtual Buying Group(s), which contains any viruses, time bombs, trojan horses, worms, cancer bots or other computer programming routines that may damage, interfere with, intercept or expropriate any system, data or information. d) Maintenance of confidential information; privacy Member agrees not to disclose other members� confidential information consistent with accepted industry practices. In addition, Member agrees not to disclose ElectricalWeb.com confidential information such as User Name or Password, even within Member�s own organization, except in a need-to-know basis. Member agrees not to invade another member�s privacy. This includes, but is not limited to, the breach or attempted breach of the security of another member�s computer, software or data without the knowledge and express consent of such Member. Use or distribution of tools designed for compromising privacy or security is strictly prohibited. ElectricalWeb.com's use or information on the site, Trading Zone or otherwise, will be made in accordance with the then current ElectricalWeb.com Privacy Policy, the terms and provisions of which are herein incorporated by reference. 8. Information posted on the Site Member is solely responsible for information which it posts on the Site. ElectricalWeb.com does not endorse any information posted on the Site by members or third parties. Member agrees that ElectricalWeb.com has no obligation to monitor the content on the site, the Trading Zone, Virtual Buying Group(s), or links to other web sites, and expressly disclaims any responsibility of ElectricalWeb.com to filter any such content. However, we may take any action with respect to such information we deem necessary or appropriate in our sole discretion, including but not limited to editing, refusing to post or removing all or a portion of such information, if we believe such information may give rise to liability to us or other parties or interfere or impair our relationship with any member. Information posted on the Site (a) must not be fraudulent or involve the sale of stolen items; (b) must not infringe any third parties rights including but not limiting to copyright, patent, trademark, trade secret, or other proprietary rights or rights or publicity or privacy; (c) must not violate any applicable law, statute, rule or regulation; (d) must not be obscene, indecent or contain pornography; (e) must not be defamatory, trade libelous, threatening or harassing; and (f) must not link directly or indirectly to or include descriptions of products or services that are prohibited by this Agreement. In addition you may not post on the Site or sell on the Trading Zone or any Virtual Buying Group(s)* any product or Service, which, by paying us our Transaction Fee, could reasonably be expected to result in a violation of any applicable law, statute, rule or regulation. 9. Intellectual Property Matters Member acknowledges that all data developed and/or collected by ElectricalWeb.com in connection with the operation of the Site and the Trading Zone, Virtual Buying Group(s)* or otherwise shall be the exclusive property of ElectricalWeb.com. ElectricalWeb.com's use of such data will be made in accordance with the Privacy Policy, but no company-specific transactional information concerning Member shall be shared with any third parties without the prior written consent of the Member except (i) for the fact that the Member is a member of ElectricalWeb.com (ii) pursuant to the license granted below, and (iii) for data derived from Transaction. All third party content published on the Site is property of the respective copyright owners and may not be copied or distributed in any way by Members for commercial purposes. To enable us to use information provided by you in connection with the operation of the Trading Zone, Virtual Buying Group(s)* and the Site, including without limitation your Product Catalog, and the advertisement thereof without violating any rights you have in the information, Member grants to ElectricalWeb.com a non-exclusive, worldwide, perpetual, irrevocable, royalty-free right to exercise the copyright, trademark and publicity rights (but not other rights) you have in such information on the Internet and otherwise in any publicity material of yours. ElectricalWeb.com's use of such information will be in accordance to the Privacy Policy. The forgoing license will terminate upon the termination of Members Membership in ElectricalWeb.com. 10. Termination and Expiration a) Termination Rights. Either ElectricalWeb.Com or Member may immediately terminate this Membership Agreement at will in writing by authorized personnel (or via email followed by such a writing). b) Member obligations upon termination or expiration Member agrees that, upon termination of this Membership Agreement, Member will: Pay all outstanding debts to ElectricalWeb.Com in full within ten (10) days. Honor all outstanding Transactions. 11. Relationship between ElectricalWeb.Com and Members Member and ElectricalWeb.Com are independent contractors, and no agency, partnership, joint venture, employer-employee or other similar relationship is intended or created by Members acceptance of the Members Terms and Conditions, use of the Site or participation in the Trading Zone, Virtual Buying Group(s)* or other Site functionalities. ElectricalWeb.Com is a neutral third-party facilitator of commerce between Buyers and Sellers. You must comply with all applicable laws, statutes, ordinances and regulations regarding your use of the Site, the Trading Zone, Virtual Buying Group(s)* and other Site functionalities (including without limitation those governing antitrust, unfair competition, false advertising, tax, and export control). You are solely responsible for calculating, paying and/or collecting and remitting all applicable fields and taxes imposed on you by the appropriate governmental entity and incurred in connection with products and services you buy or sell through the site and/or the Trading Zone, Virtual Buying Group(s)* or other Site functionalities. 12. Dispute Resolution and Applicable Law This Membership Agreement and the Members Terms and Conditions and the relationship between Member and ElectricalWeb.com shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania without regard to it's conflict of law provisions. Member and ElectricalWeb.com agree that any controversy or claim arising out of or relating to the Members Terms and Conditions, this Agreement and/or the relationship between Member and ElectricalWeb.com shall be submitted to the personal and exclusive jurisdiction of the courts located within Allegheny County, Commonwealth of Pennsylvania. 13. Limitation of Liability As a condition of membership to the Site, and in consideration of the services provided by ElectricalWeb.com, Member agrees that neither ElectricalWeb.com nor any officer, affiliate, director, shareholder, agent or employee of ElectricalWeb.com will be liable to Member or any third party for any direct, Indirect incidental, special, punitive, or consequential loss of profits, loss of earnings, loss of business opportunities, damages, expense, or costs resulting directly or indirectly from, or otherwise rising in connection with: 1. the use of the Site by the Member, including but not limited to damages resulting from or arising from Member�s reliance on the TradingZone, Virtual Buying Group(s)* or other Site functionalities, or the mistakes, the missions, interruptions, errors, defects, delays in operation, non-deliveries, mis-delieveries, transmissions, eavesdropping by third parties or any failure of performance of the TradingZone, Virtual Buying Group(s)* or other Site functionalities; 2. The termination of Member�s membership by ElectricalWeb.com pursuant to the Members Terms and Conditions; 3. The failure or alleged failure of any product purchased or transferred pursuant to the TradingZone, Virtual Buying Group(s)* or other Site functionalities to conform to any specifications or terms, whether published on the TradingZone, Virtual Buying Group(s), other Site functionalities or not; 4. The breach or alleged breach, of any warranty, express or implied relating to any such product or shipment; or 5. Government restriction, strikes, war, any natural disaster or force majeure, or any other condition beyond ElectricalWeb.com's reasonable control. IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY EXCEED AMOUNT ACTUALLY PAID BY YOU TO US UNDER THIS AGREEMENT DURING THE THREE (3) CONSECUTIVE MONTHS IMMEDIATLY PRIOR TO THE ACT GIVING RISE TO THE LIABILITY. 14. Indemnification Without limiting the generality or effect of other provisions of this Agreement, as a condition of membership, each Member agrees to indemnify hold harmless, and defend ElectricalWeb.com and each of it�s respective affiliates subcontractors, agents, and employees against all third party claims, liabilities and damages incurred or allegedly incurred by ElectricalWeb.com arising out of such Member�s engagement in transactions on the Site, including but not limited to any product or services sold on the TradingZone, Virtual Buying Group(s) or other Site functionalities for failure of a product to meet specifications or breach of warranty. Any such indemnification shall be conditioned on ElectricalWeb.com: a) notifying you in writing of any such claim, demand, action, cost, liability, loss or threat of any thereof; b) cooperating with you in the defense or settlement thereof; and c) allowing you to control such defense or settlement. ElectricalWeb.com shall be entitled to participate in such defense at our own cost and expense. ElectricalWeb.com reserves the right to report any wrongdoing, if we become aware of it, to the applicable government agencies or otherwise. 15. State Specific Legal Notices Pursuant to California Civil Code Section 1789.3 and California Business and Professions Code Section 17538, residents of California are hereby advised of the following, in addition to the waiver contained in Section 3 above: ElectricalWeb.com, located at 504 Plum Industrial Court, Pittsburgh, PA 15239, is the provider of the electronic commercial service on the Site. As set forth in Section 4, Sellers may be charged a monthly Fee if they need phone support and for any other additional service offerings such as account management and maintenance of history files. Basic Seller services are free up to responding to RFQs and performing bidding and online support and training. ElectricalWeb.com also reserves the right to charge nominal fees for different service offerings in the Trading Zone such as RFQs, sealed bids, etc. which do otherwise result in Transaction Fees or any such fees to be detailed in the Transaction Procedures. It is ElectricalWeb.com's intention to retain flexibility in the Transaction Fee structure to accommodate different commerce models in the Trading Zone. It is not currently contemplated that consumer users will be members, Sellers or Buyers in the Trading Zone, the Virtual Buying Group(s)* or generally on the Site. Nevertheless, the Complaint Assistance Unit of the Division of Consumer Services of the Department of Consumer Affairs in California may be contacted in writing at 400 R. Street, Suite 3090, Sacramento, CA 95814 or by calling 800-952-5210. Upon your request you may have this Membership Agreement sent to you by e-mail. Other General Provisions This agreement and the Members Terms and Conditions constitute the entire agreement and understanding between the parties with respect to the subject matter of this Membership Agreement and supersedes and replaces any and all prior written or verbal agreements. Headings are for references only. The provisions of Sections 3, 7, 8, 9, 10, 11, 12, 13, 14, 15, and 16 shall survive the termination or expiration of this agreement for any reason. A party's failure to insist upon or enforce strict performance of any provision of the Members Terms and Conditions and/or this Agreement shall not be construed as a waiver of any provision or right. Neither the course of conduct between Member and Electricalweb.com nor trade practice shall act to modify any provision of this Agreement and/or the Members Terms and Conditions. If any provision of this Agreement is held to be invalid or unenforceable, such determination shall not affect such provision in any other respect or any other provision of the Members Terms and Conditions, which shall remain in full force and effect. This Agreement may not be assigned or transferred to third parties by Member without prior written permission from ElectricalWeb.com. * �Virtual Buying Group(s)�, as defined above, are not currently available. This functionality is expected to become available in late 2005. BY EXECUTING THIS AGREEMENT YOU REPRESENT AND WARRANT THAT YOU, AS A DULY AUTHORIZED REPRESENTATIVE OF YOUR COMPANY, CAN FORM LEGALLY BINDING CONTRACTS UNDER APPLICABLE LAW, AND THAT YOU ARE A MERCHANT AND NOT A CONSUMER USER FOR PURPOSES OF TRANSACTING BUSINESS ON THE ELECTRICALWEB.COM WEBSITE.
